Multi-Jurisdictional Due Diligence
We are currently advising a French-based multi-national on the African assets of its target company. We are reviewing the documentation available in the Data Rooms across the region and have deployed staff from our correspondent firms as well as seconding experienced team members from our office in Madagascar. In addition to our countries of operation, we have been asked to manage the output of local firms in two further jurisdictions due to our on-the-ground presence, regional experience and cost-effective fee structure.
G4S - Acquisition Of Security Services Company
We advised G4S on its acquisition of a locally based security services company. Advice included a detailed review of several hundred employment contracts to evaluate termination liabilities, construction of a corporate flow chart to establish control within the organisation and to opine on the legislative environment surrounding the security service industry.
Port of Tamatave – Advising on Bid
We advised a Hong Kong based company on its bid for the container terminal in Madagascar’s largest port. We analysed large volumes of material from the data room and synthesised it into a detailed report. We reviewed and commented on the concession agreement and conducted detailed supplemental due diligence for the client and gave price-critical input up to the moment the bid was submitted.
Global Bid - Madagascar Assets
We acted for a Singapore based retail group on its bid for the Madagascar and Mauritius based assets of a UK-listed retail chain. Advice included detailed due diligence on assets and liabilities, advice on company law, corporate structure and insolvency procedures.
