US$100m Real Estate Acquisition
Advising a foreign embassy in Madagascar on a US$100m real estate acquisition and development. Issues include the ability of foreigners to purchase land in Madagascar, the correct procedure and due diligence required, all aspects of construction regulations and codes, drafting the purchase agreement and negotiating with the government and its agencies.
Timeshare Structuring & Due Diligence
Advising an international tourism group developing Madagascar’s first timeshare resort. Issues include security of tenure when dealing with land leased from the state, reviewing the corporate structure to maximise both tax efficiency and investor confidence.
5* Resort – Land Acquisition and Shareholders Agreement
Advising a South African developer on its development of a 5* luxury beach resort. This involved the acquisition of a sizeable area of coast and coastal forest, detailed due diligence on the land in question, as well as drafting joint venture documentation for the client and its local partner.
Private Investor – Acquisition of Island
Advising a Hong Kong based investor on his acquisition of an island offshore Madagascar. Issues involved due diligence at the regional registry, negotiations with the seller and conclusion of a binding heads of agreement, review of local customary law and practise, together with preparation of detailed advice relating to the fiscal aspects of the investment.
Ambatovy Project – 100+ Long Term Leases
On behalf of the Ambatovy Project, concluding over 100 long-term leases over land, registering them and subsequently mortgaging them to the banks financing the transaction. This involved very close co-ordination with lenders' counsel and local officials in order to complete a vast volume of work in avery compressed timescale. We are currently concluding a similar quantity of right-of-way agreements relating to the passage of the project pipeline over 220km of titled and untitled land.
