Offshore PSC Review
We advised this US upstream company in a detailed review of its PSC with the Government of
Congo-Brazzaville. We reviewed pre-emption rights, change of control provisions and specific clauses setting out the definition of a “production well”. We gave the client concise advice enabling him to protect his position with local authorities.
AIM – Farm-In
Advising an AIM listed company on its acquisition of a share in a Madagascar Production Sharing Contract. Advice included reviewing the PSC and opining on its legality and continuing validity, performing a thorough due diligence of the project structure (including relevant corporate documentation and the share purchase agreement), working closely with the Nomad to ensure compliance with the AIM rules and working with both purchaser and vendor to resolve conflicts arising locally.
BG Group PLC - Offshore Exploration Licence
Advising BG Group PLC, (one of the UK’s top-ten listed companies) on its farm-in to an offshore exploration licence. As well as providing an opinion on the PSC, we performed detailed due diligence on the partners local exposure to ensure compliance with listing and disclosure requirements in London. We also advised on fiscal aspects of the petroleum code for both operators and silent partners.
